Descriptions appearing on our website are general descriptions and do not constitute a commitment to provide any particular service, functionality, outcome, certification, or deliverable.
2. Professional Services Require a Separate Agreement
These Terms primarily govern use of our website and publicly available digital services. Professional services are governed by the applicable proposal, master services agreement, statement of work, purchase order, data processing agreement, business associate agreement, government contract, subcontract, or other written agreement.
If these Terms conflict with an executed written agreement governing professional services, the executed written agreement controls with respect to those services.
Submitting a website form, scheduling an introductory consultation, exchanging preliminary communications, or receiving general information does not by itself establish a professional, fiduciary, confidential, advisory, or client relationship.

Customers remain responsible for appropriate human oversight, authorization, testing, validation, and use of systems provided to them, except to the extent a written agreement expressly assigns those responsibilities differently.
6. Readiness Assessments and Technical Information
AI software-factory and AI hardware-factory readiness assessments are intended to identify potential requirements, risks, gaps, dependencies, and considerations relating to technology infrastructure and organizational readiness.
Unless expressly stated in a separate written agreement, such assessments do not constitute:
- Licensed engineering or architectural services;
- Electrical-system certification;
- Code-compliance certification;
- Environmental approval;
- Cybersecurity certification;
- Regulatory approval;
- Financial or investment advice;
- Legal advice;
- A guarantee of utility capacity or interconnection;
- A guarantee that a facility can be constructed or operated;
- A guarantee of project cost, schedule, financing, performance, or commercial viability; or
- An export-control, national-security, or government-contracting classification, certification, license, or authorization.
Clients should obtain appropriate advice and approvals from qualified engineers, architects, attorneys, utilities, regulators, financial professionals, and other specialists as appropriate.
7. AMP2 – AI, Money & Power
AMP provides editorial analysis and information concerning artificial intelligence, data centers, AI factories, companies, securities, capital investment, project financing, energy markets, power generation, utilities, infrastructure, government actions, and regulatory developments.
AMP content is provided solely for general informational and editorial purposes. AMP does not constitute investment research, personalized investment advice, legal advice, engineering advice, financial advice, tax advice, or an offer, solicitation, or recommendation to buy, sell, hold, or otherwise transact in any security, commodity, financial instrument, project, company, or investment.
Readers should independently verify information and consult qualified advisers before making financial, investment, engineering, legal, regulatory, or business decisions.
Breakthru Ventures AI may discuss companies, industries, securities, technologies, and markets in which Breakthru Ventures AI, its principals, employees, clients, partners, or affiliates may have commercial or financial interests. By subscribing to AMP or another publication, you consent to receive the communications you requested and related administrative communications. This section applies to email communications. Any future SMS/text-message program will require a separate opt-in process appropriate to that channel and applicable law and is not authorized by a general newsletter signup.

Breakthru Ventures AI does not guarantee particular financial savings, revenue increases, productivity improvements, AI performance, energy availability, project financing, regulatory approval, implementation schedules, or other business outcomes unless expressly stated in an executed written agreement.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, AMP CONTENT, AND PUBLICLY AVAILABLE DIGITAL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
BREAKTHRU VENTURES AI DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY, TO THE EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM USE OF THE WEBSITE, AMP, OR PUBLICLY AVAILABLE DIGITAL SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID SPECIFICALLY FOR THE APPLICABLE DIGITAL SERVICE DURING THE PRECEDING TWELVE MONTHS OR $100.

This section does not apply to professional services governed by a separate written agreement, which may contain its own force majeure terms.
25. Entire Agreement and Priority of Professional Agreements
These Terms and the Privacy Policy constitute the agreement governing use of the website and publicly available digital services. They do not supersede an executed master services agreement, statement of work, purchase order, government contract, subcontract, confidentiality agreement, data processing agreement, business associate agreement, or other written professional-services agreement. Where such an agreement applies, its terms govern the applicable professional services and prevail over inconsistent provisions of these Terms.
